Services
WODH LTD (“WODH”, “we”, “us”) is a spatial technology studio offering XR development, game development, 3D art and design, and creative technology services. These terms govern the use of our website at wodh.io and any professional engagement with our studio.
All services are provided on a project basis unless otherwise specified in a separate written agreement.
Engagement
Engagements are initiated through our contact form, email correspondence, or direct referral. A formal engagement begins only upon mutual agreement of scope, timeline, and compensation, typically documented in a Statement of Work (SOW) or equivalent written agreement.
Either party may terminate an engagement with 14 days' written notice unless otherwise specified in the project agreement.
Intellectual Property
All deliverables produced under a client engagement are the intellectual property of the client upon full payment. Work is performed under a work-for-hire arrangement unless otherwise agreed in writing.
WODH retains the right to use general knowledge, skills, and techniques developed during the course of an engagement. We may reference the engagement in our portfolio (project name and general description) unless the client requests otherwise.
Pre-existing tools, libraries, and frameworks owned by WODH remain our property but are licensed to the client for use within the delivered project.
Confidentiality
Both parties agree to treat all proprietary and sensitive information shared during an engagement as confidential. This includes but is not limited to: business strategies, technical specifications, source code, designs, and financial terms.
Confidentiality obligations survive the termination of any engagement for a period of two (2) years, unless a separate NDA specifies different terms.
Payment Terms
Payment schedules are defined in the project agreement. Unless otherwise specified:
- A deposit of 30–50% is required before work commences
- Milestone payments are due upon delivery and approval of each milestone
- Final payment is due upon project completion and delivery of all assets
- Invoices are payable within 14 days of issue
Late payments may incur interest at 2% per month on the outstanding balance.
Limitation of Liability
To the maximum extent permitted by law, WODH LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for that specific engagement.
Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or any engagement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
